Dell To Acquire Scalent Systems

Dell announced it has signed an agreement to acquire Scalent, a private company that provides software that makes data center infrastructure dynamic, easily scalable and highly efficient.

Dell will integrate Scalent technology into its Advanced Infrastructure Manager (AIM) solution.

Subject to customary closing conditions, Dell expects to complete the acquisition in its second fiscal quarter.

Dell AIM simplifies data center management by enabling a single administrator to dynamically allocate compute, storage and network resources for physical and virtual application workloads. This solution enables dynamic deployment and repurposing of infrastructure without the need for physical server, cable or storage area network changes. The solution has built-in high-availability, helping organizations manage infrastructure failures without service disruption. Dell AIM works with industry-standard servers, Ethernet switches and Fibre Channel switches, allowing customers to transition quickly to a highly-dynamic data center using existing infrastructure investments. This open architecture enables customers to leverage their existing infrastructure, dramatically lowering the cost of implementation relative to other industry solutions.

Dell’s new solutions and flexible services free customers to capitalize on the “Virtual Era” of the technology industry and realize new levels of efficiency, with a goal of reducing data management costs by up to 50 percent and making room in budgets for the strategic investments they need to make now. Dell’s Virtual Integrated System brings together an end-to-end solution of state-of-the-art servers, storage, networking, software and management tools to work as one dynamically configurable entity that is open and pragmatic. The result is rapid deployment and responsive infrastructure that helps businesses respond to customers’ and employees’ changing needs. Dell’s solution is a distinct alternative to the closed nature of competitors’ proprietary and vertically integrated stacks.

Phoenix Technologies Completes Sale of HyperSpace Assets to HP

Phoenix Technologies has announced that it has completed the sale of the assets related to its HyperSpace, HyperCore and Phoenix Flip instant-on and client virtualization products to HP.

Total consideration from the sale of the assets is $12.0 million, of which approximately $9.8 million was paid to Phoenix at the closing, after deducting certain fees and costs relating to the transaction, and $2.0 million which was placed into escrow to cover certain potential Company indemnification obligations.

“The completion of this transaction marks a major milestone for our Company as we refocus our efforts on our CSS business where we have a proven track record of success,” said Tom Lacey, President and CEO of Phoenix. “With this cash infusion, we are well poised to extend our CSS market leadership and improve our enterprise value.”

Rumor: VMware Is Acquiring EngineYard

GigaOM says VMware is gearing up to buy EngineYard, the Ruby on Rails cloud provider that’s raised $37 million from the likes of Amazon, Benchmark, DAG Ventures and Bay Partners.

A VMware spokesperson told GigaOM that they won’t comment on speculation or rumors, so there’s no confirmation yet.

VMware has been buying startups such as Zimbra, SpringSource and others as it works to transition from providing a hypervisor to offering higher-value services. Earlier this year it released its VMforce platform as a service built on Salesforce.com’s infrastructure using SpringSource’s Java-based framework. Adding a Ruby-focused platform or capability makes a lot of sense, and EngineYard has been working on a transition of its own — moving away from startups and more toward the enterprise, where VMware’s focus is.

HP Buys Phoenix’ HyperSpace, HyperCore and Phoenix Flip Assets

Phoenix Technologies today announced that Hewlett-Packard has agreed to purchase the assets related to its HyperSpace, HyperCore and Phoenix Flip instant-on and client virtualization products.

The consideration for the transaction is $12 million in cash and the closing is expected to occur this month.

With the sale of its virtualization technology product line, Phoenix is moving forward with its strategy of ditching offerings that do no longer fit its focus on the core systems software (BIOS) market.

In April 2010, Phoenix had already sold its FailSafe and Freeze assets. Divesting other non-core assets including Hyperspace and eSupport are among the company’s plans to further reduce expenses associated with non-core products.

Vision Solutions To Buy Double-Take Software

Double-Take Software, a provider of recovery solutions, has entered into a definitive merger agreement to be acquired by Vision Solutions, a portfolio company of Thoma Bravo, in a transaction with a net offer value of approximately $242 million.

The Double-Take Board of Directors unanimously approved the agreement and has recommended the approval of the transaction to Double-Take’s stockholders.

Under the terms of the agreement, Double-Take stockholders will receive $10.55 in cash for each share of Double-Take common stock they hold, representing a premium of approximately 39% and 21% to Double-Take’s enterprise value and closing share price of $8.71, respectively, on April 9, 2010, the last business day prior to Double-Take’s announcement that its Board of Directors was considering indications of interest to acquire the Company.

The transaction is subject to customary closing conditions, including the expiration or earlier termination of the Hart-Scott Rodino waiting period and the approval of Double-Take stockholders. The transaction is not subject to a financing condition, and debt commitments for the merger consideration have been received by Vision Solutions. Double-Take expects the transaction to close in the third quarter of 2010.

NetApp Completes Acquisition of Bycast

NetApp last week announced that it has completed the acquisition of Bycast, a privately held company headquartered in Vancouver, British Columbia, Canada, under terms of the definitive agreement announced on April 7, 2010.

Bycast extends NetApp’s leadership position in unified storage by adding an object-based storage offering to manage petabyte-scale, globally distributed repositories of images, video, and records for enterprises and service providers. Bycast also expands NetApp’s position in key markets such as healthcare, digital media, Web 2.0, and cloud services providers.

Bycast’s former headquarters is now the NetApp Vancouver Technology Center, responsible for existing Bycast products and future product development.
